These terms apply to consulting and software-development services provided by EAST-WEST IT Solutions (owner: Andreas Mehner; "we", "us"). They are separate from the terms for our software products. For these services we are your direct contractual partner and invoice you directly.
These terms govern consulting, software-development and web-development engagements. They are supplemented by the individual offer or statement of work agreed for each project, which prevails in case of conflict.
The scope of services is defined in the individual offer. Unless a specific result is expressly agreed, we owe a service, not a particular outcome.
A contract is concluded when an offer is accepted in text form or an individual agreement is signed.
Fees are agreed individually (hourly or daily rate, or a fixed price) in the offer. We invoice you directly; invoices are payable within the period stated on the invoice (by default 14 days, net).
You provide the access, information and materials reasonably required to perform the services, in good time.
Where a specific work product is owed, it is subject to acceptance; statutory warranty rights for defects apply within the agreed limits.
Both parties keep confidential information secret and use it only for the engagement. A separate non-disclosure agreement may apply.
Rights to the deliverables pass to you, or are licensed, as set out in the offer, upon full payment.
To the extent permitted by law, we are liable only for intent and gross negligence and not for indirect or consequential damages. Mandatory liability remains unaffected.
The term and notice periods follow the individual agreement.
These terms are governed by the laws of the Republic of Serbia, unless otherwise agreed in writing. These services are offered on a business-to-business basis.
If you engage us as a consumer, mandatory consumer-protection provisions of your country of residence remain unaffected.
If any provision of these terms is or becomes invalid, the remaining provisions stay in effect.
